The three scenarios that will be examined in this paper are the restaurant/bar, the professional practice and the construction. The focus will be on the direct business entity's central control, taxation and liability issues. The laws that govern the particular entity will be identified, the risks, the steps these entities must take to protect themselves, along with the business decisions these protection measures influences.

Even though, all states might exercise different regulations regarding business activity, there is a federal governmental body that controls the businesses taxation and liability issues. This federal body is known as the Interstate Commerce. The power of this group comes from what is called the commerce clause of the U.S. Constitution. The Congress has almost unlimited authority to control business. Interstate Commerce is not a body of federal law, it is a part of the constitution.

Restaurant and Bar

The restaurant and bar scenario being analyzed mentioned having an Angel Investor, which is a wealthy individuals, not connected with venture capitalists or investment firms, who is interested in getting involved in small business through investments and partial ownership. Nevertheless, all partners must adhere to the same amount of government scrutiny. The Food and Drug Administration Industry process is tedious, but obtaining the proper licenses, permissions and registrations are made even more difficult by the fact that Restaurants and bars must not only comply with all federal laws, but the numerous state laws, which can vary greatly from state to state. In addition to obtaining a liquor license, some states require additional retail and other specialty licenses in order for an establishment to buy alcohol, sell alcohol to patrons or to engage in a number of promotions that may include alcohol samples, catering instances and other alcohol-related events. This is why the federal government has set up the state Alcohol Beverage Control Boards, who have very specific rules governing the bar industry. To obtain a license to open the restaurant portion of the business, a certificate from your local police department is required. This must demonstrate that you either own the property or have the permission of the owner. You must submit a plan to the Municipal Corporation and obtain its approval.
