NOW THIS MEMORANDUM OF UNDERSTANDING WITNESSETH and it is hereby and hereunder agreed by and between the parties hereto as here under:

1. PRICE - Rs. <Figure> lacs only (Rupees In WORDS only) is the cost of flat inclusive of OPEN Car-Park and MSEB.

2. Builder/ Society Transfer charges are to be paid by second party.

3. If the Investor Clause exits, Stamp Duty to be paid by the Second Party only, at the actuals.

4. Registration Charges are to be paid by second party.

5. MOU will be expired after 50 days from today.

6. Token paid by the BUYER is Rs. 50000/- (Rupees In Words Only) on Date 2009 to the SELLER. The details of the bank draft are mentioned in the receipt.

7. In case the BUYER is not able to make the payments within the expiry date of the MOU, the token will not be returned by the SELLER; except for clause No 8.

8. In case of LOAN not been sanctioned because of the non-availability of the documents from the SELLER, the token amount will be refunded to the BUYER.

9. In case of SELLER is withdrawing from the deal due to any reasons, SELLER will pay the double amount of token to the BUYER.

10. This MOU and Receipt to stay in Escrow with.

IN WITNESS WHEREOF the parties hereto have set their hands on the day and date first hereinabove mentioned.
